Frequently asked questions

Is registration of a Partnership Firm mandatory?

No. Registration of a partnership firm is optional under the Indian Partnership Act, 1932. However, unregistered firms cannot sue each other or third parties in court for partnership disputes. Most firms register for bank KYC, tender eligibility and tax assessment purposes.

Which Act governs Partnership Firm registration?

Partnership Firm registration is governed by section 58 of the Indian Partnership Act, 1932. Application is filed with the Registrar of Firms of the state where the firm is situated. Some states have additional rules under the state Partnership Rules.

Is stamp duty required on the Partnership Deed?

Yes. The Partnership Deed is stamped as per the state stamp schedule under the Indian Stamp Act, 1899. State rates vary; for example, Maharashtra, Karnataka and Gujarat charge ad valorem duty on partnership deeds. Non-stamped deeds may not be admissible as evidence in court.

What is the minimum number of partners?

A partnership firm must have minimum 2 partners and can have up to 50 partners (under the Companies Act 2013 cap). All partners are individuals or body corporates. Minors cannot be partners but can be admitted to the benefits of partnership with consent of all partners.

How is a Partnership Firm taxed?

A registered Partnership Firm is taxed as a separate entity at flat 30% plus surcharge and cess under section 167B of the Income-tax Act, 1961. Partners' share of profit is exempt in the hands of the partner. Firm files ITR-5 annually under section 184.

Can a Partnership Firm own property?

No. A partnership firm is not a separate legal entity under the Indian Partnership Act, 1932. Property must be held in the names of all partners. For separate legal entity status with property-owning capacity, the firm should convert to LLP or Pvt Ltd Company.

How long does Partnership Firm registration take?

Partnership Deed drafting, stamping, signing and notarisation takes 5-7 days. Registration with the Registrar of Firms takes 7-15 days depending on the state. Total turnaround is 5-10 days for stamping and signing, and 10-20 days for full registration with the Registrar.

What is the difference between a partner and a designated partner?

Partner is a member of a Partnership Firm under the Indian Partnership Act, 1932. Designated partner is a specific concept under the LLP Act, 2008 — partners who are responsible for compliance and statutory filings of the LLP. Every LLP must have minimum 2 designated partners.
