Board Meetings: Quorum & Minutes

CSR Compliance under Section 135
Companies meeting any of the Section 135(1) thresholds — net worth ₹500 crore, turnover ₹1,000 crore, or net profit ₹5 crore — must constitute a CSR committee, spend 2% of average net profits on CSR, and file Form CSR-2 in Form AOC-4 / Form AOC-5. Non-compliance attracts Section 135(7) penalties.

DIR-12: Director Change & Filing
DIR-12 is filed with the ROC within 30 days of a director appointment, resignation, or removal. The form requires the new / outgoing director's PAN, Aadhaar, DSC, and a certified board resolution. Strike Off a Dormant Company (Form STK-2)
A dormant company can be struck off the ROC register by filing Form STK-2 along with the prescribed fees and indemnity bond. The company must have no assets or liabilities, no pending litigation, and must have filed all annual returns up to the date of application. Approval takes 1–2 months.

Books of Accounts: What the Law Requires
